Terms & conditions of sale

Terms & conditions of sale.

These terms govern the design, development and consulting services provided by Philippine Loiseau. They apply to every accepted quote, unless specific written conditions state otherwise.

1. Purpose & scope

These general terms and conditions ("Terms") govern the design, web and mobile development and consulting services provided by Philippine Loiseau, sole trader ("the Provider"), to any professional or consumer client ("the Client"). Any order implies unreserved acceptance of these Terms, which prevail over the Client's purchasing conditions unless otherwise agreed in writing. The Provider's full details appear in the site's legal notice.

2. Quote, order & formation of the contract

Each service is covered by a quote detailing the scope, price and timeline. The quote is valid for 30 days from its issue. The order is firm once the quote is dated, signed and marked "bon pour accord", together with payment of the agreed deposit. Any request outside the scope is covered by an amendment or a new quote.

3. Price & payment

Prices are in euros. VAT not applicable, art. 293 B of the French CGI. Unless stated otherwise, a 30% deposit is due on order and the balance on delivery; an instalment schedule may be set in the quote for long projects. Between professionals, any late payment automatically incurs penalties at the increased legal interest rate and a flat €40 recovery indemnity (art. L.441-10 and D.441-5 of the French Commercial Code). No discount is granted for early payment.

4. Right of withdrawal (consumer clients)

Consumer clients have 14 days from the conclusion of the contract to withdraw, without reason (art. L.221-18 et seq. of the French Consumer Code), through an unambiguous statement. Where the Client expressly requests that performance begin before the end of this period, they acknowledge that their right of withdrawal ends once the service is fully performed, and remain liable for the amount corresponding to the service already provided. This right does not apply to professional clients.

5. Process & Client obligations

The Provider has an obligation of means, strengthened where the specification is precise. Proper performance requires the Client's cooperation: the Client undertakes to provide, in good time, the content, access, approvals and information required. Timelines are indicative and may be adjusted if elements are delivered late or if the Client makes new requests.

6. Acceptance & delivery

On delivery, the Client has 14 days to check that the deliverable conforms to the quote and to report any defect in writing. Failing a written reservation within this period, acceptance is deemed granted. Acceptance triggers the transfer of responsibilities and the starting point of the warranty.

7. Bug-fix warranty

The Provider warrants the correction of conformity defects reported in writing for 3 months from acceptance. Excluded are: Client manipulation errors, changes made to the deliverable without the Provider's agreement, the use of incompatible third-party hardware or services, and functional evolutions (which fall under maintenance). Consumer clients additionally benefit from the legal guarantees of conformity (art. L.217-3 et seq. of the Consumer Code) and hidden defects (art. 1641 et seq. of the Civil Code).

8. Maintenance & evolutions

After the warranty, fixes, updates (compatibility, security) and new features fall under a separate maintenance service, as a package or on demand, covered by a specific quote.

9. Hosting, domain & third-party services

Unless stated otherwise in the quote, hosting, the domain name and third-party service accounts (notably Apple App Store and Google Play) are at the Client's expense and billed directly by the providers concerned. The Provider is not responsible for interruptions or changes to these services.

10. Intellectual property

The exploitation rights to the final deliverable are transferred to the Client after full payment of the price. Until full payment, the Provider remains the owner of the rights to the delivered items. The Provider retains ownership of its tools, reusable software building blocks, methods and prior know-how. Unless otherwise agreed in writing, the Provider reserves the right to mention the project and show visuals of it for reference in its work.

11. Liability

The Provider's liability is limited to direct and foreseeable damages and may not exceed the amount of the service concerned. The Provider is not liable for indirect damages (loss of data, revenue or business). These limitations do not apply in the event of gross or wilful misconduct and do not restrict the mandatory legal rights of consumer clients.

12. Confidentiality & personal data

Each party keeps confidential the information exchanged during the engagement. The processing of personal data is described in the site's privacy policy, in accordance with the GDPR.

13. Termination

In the event of a serious breach not remedied within 15 days of a formal notice, either party may terminate the contract. Services performed up to termination remain due; the deposit paid is retained by the Provider for the work undertaken, without prejudice to the rights of consumer clients.

14. Mediation & dispute resolution

In the event of a dispute, the parties will first seek an amicable solution. Consumer clients may use the consumer mediator free of charge: CM2C — 49 rue de Ponthieu, 75008 Paris — https://cm2c.net (see the legal notice). Failing agreement, the dispute will be brought before the competent courts.

15. Governing law

These Terms are governed by French law. For disputes between professionals, jurisdiction lies with the courts of the Provider's registered location, unless a mandatory legal provision states otherwise.
